Nagarjuna Fertilizers and Chemicals Ltd has informed that a meeting of the Board of Directors of the Company will be held on March 11, 2010, inter alia, to consider and approve the proposal to

1. Incorporate a wholly owned subsidiary Company in Mauritius under the name and style of Nagajuna Mauritius Pvt. Ltd or such other name as may be permitted by the Registrar of Companies, Republic of Mauritius, Mauritius.

2. Commend a proposal to the shareholders to invest in cash a sum not exceeding Euro 5 million in the equity capital of the wholly owned subsidiary Company - Nagarjuna Mauritius Pvt. Ltd., Mauritius or such other name as may be approved by the Registrar of Companies, Republic of Mauritius, Mauritius, to be reinvested in Nagarjuna Spawnt GmbH, Germany, in Germany.
